Terms of Service

1. Acceptance

By creating a ServiceReach account or using our platform, you agree to these terms. If you are using ServiceReach on behalf of a business, you represent that you have authority to bind that business to these terms. If you do not agree to these terms, do not use the service.

2. The Service

ServiceReach provides location-aware appointment scheduling software for on-site service businesses. We host and maintain the platform, including the booking page, admin dashboard, provider views, scheduling algorithm, and optional third-party integrations such as Google Calendar sync and Stripe billing.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate information during registration and keep it up to date. You must notify us immediately at hello@servicereach.app if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose.
• Attempt to access other users' accounts or data.
• Interfere with or disrupt the platform's infrastructure.
• Scrape, crawl, or automatically extract data from the platform.
• Resell or redistribute the service without our written consent.
• Upload malicious code, viruses, or any content designed to harm the platform or its users.
• Use the platform to send unsolicited communications (spam) to customers.

We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these terms. See Section 8 (Termination) for details.

5. Your Data

You retain ownership of all data you upload to ServiceReach ("Customer Data"). We use your data only to provide and improve the service, as described in our Privacy Policy. You are responsible for obtaining any necessary consent from your customers before entering their personal data into the platform.

You grant ServiceReach a limited, non-exclusive license to use, store, and process your Customer Data solely to provide the service. This license terminates when you delete your data or close your account.

6. Intellectual Property

ServiceReach and its original content (excluding Customer Data), features, functionality, source code, design, branding, and documentation are and will remain the exclusive property of ServiceReach and its licensors. The platform is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our prior written consent.

7. Pricing & Billing

ServiceReach is billed monthly or annually. Prices are listed on our pricing page and may change with 30 days' notice. Your free trial includes all features for 30 days. After the trial, your account will be paused until you add a payment method. All fees are non-refundable except as required by law.

Payment processing is handled by Stripe. By providing payment information, you agree to Stripe's Terms of Service.

8. Termination

By you: You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial months.

By us: We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or fail to pay outstanding fees after notice. We may also terminate accounts that have been inactive for more than 12 months with 30 days' written notice. Upon termination, your right to use the service ceases immediately and we may delete your data in accordance with our Privacy Policy.

9. Third-Party Integrations

ServiceReach integrates with third-party services including Google Calendar, Google Maps, Stripe, and Amazon Web Services. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

When you connect your Google Calendar, you authorize ServiceReach to access, read, create, update, and delete calendar events as described in our Privacy Policy. You may revoke this access at any time by disconnecting Google Calendar from your provider settings or by removing ServiceReach from your Google account permissions.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control, including internet outages, third-party service failures, or force majeure events.

11. Disclaimer of Warranties

ServiceReach is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be error-free, uninterrupted, secure, or that any defects will be corrected. You use the service at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law, ServiceReach shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform, including but not limited to lost revenue, lost profits, lost data, business interruption, or cost of substitute services, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to these terms or the service shall not exceed the total amount you paid to ServiceReach during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

13. Indemnification

You agree to indemnify, defend, and hold harmless ServiceReach, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) your violation of these terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any data you or your users submit through the platform.

14. Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Any dispute arising from or relating to these terms or the service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware or remotely at the election of the claimant. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the service.

15. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Your continued use of the service after the effective date of the revised terms constitutes your acceptance of the changes. If you do not agree to the updated terms, you must stop using the service and cancel your account.

16. General Provisions

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

Entire agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and ServiceReach regarding the service and supersede all prior agreements.

Assignment: You may not assign or transfer these terms without our prior written consent. We may assign our rights and obligations under these terms without restriction.
